Terms & Conditions

1.1 About these terms

These Terms & Conditions govern use of the Smart Microns Pvt. Ltd. website and, where incorporated by a quotation or agreement, the supply of plating, surface treatment, testing and related services by Smart Microns Pvt. Ltd. (“Smart Microns”, “we”, “us”). They apply to business and individual customers. A separate signed customer agreement controls in the event of inconsistency.
1.2 Website information and enquiries
Information about processes, applications, capabilities and technical specifications is provided for general information. Suitability for a particular component or application is assessed against individual customer requirements on a case-by-case basis. Website content is not, by itself, a binding technical commitment or an offer to supply services. Enquiries do not create an order.

1.3 Quotations, minimum quantities and order acceptance

Quotations remain valid for seven calendar days from issue unless the quotation states otherwise. Minimum order quantities and minimum billing depend on the metal, process and component. An order is accepted only after Smart Microns issues written confirmation and receives the required advance payment. Acceptance of these Terms follows the applicable quotation or customer agreement.

1.4 Prices, taxes and metal-rate adjustments

Prices and the treatment of GST and other applicable taxes are stated in the quotation. Where precious metal prices are variable, adjustments follow a mutually agreed metal-rate formula. The reference rate, calculation and level of supporting detail disclosed to the customer follow the quotation or customer agreement. No unilateral adjustment outside the agreed arrangement is implied.

1.5 Payment and cancellation

Unless agreed otherwise in writing, 50% of the order value is payable in advance and the remaining 50% before dispatch. The advance is non-refundable following order confirmation, subject to applicable law and any controlling written agreement. Smart Microns may withhold dispatch pending full payment. No separate late-payment penalty applies under these standard terms; agreed storage charges may still apply. Changes or cancellations of confirmed orders are assessed case by case with regard to production stage, technical feasibility and costs.

1.6 Customer components and technical information

Customers must provide complete and accurate specifications, including relevant substrate composition, required finish and thickness, performance criteria, tolerances, intended use and handling conditions. Customers are responsible for issues caused by inaccurate or incomplete specifications supplied by them, subject to applicable law and any written agreement. Smart Microns inspects customer-supplied components and informs the customer of identified issues before processing. The allocation of liability for loss or damage to customer components is governed by the customer agreement.

1.7 Samples, approvals and modifications

Sampling and trial charges vary by process, component and complexity and are communicated before sampling. An approved sample or prototype serves as a quality benchmark alongside any separately agreed technical specifications. Requests to alter a design, finish or process after sample approval are reviewed case by case in light of feasibility, costs and production progress.

1.8 Production and delivery

Quoted production and delivery timelines are estimates unless expressly agreed as binding. They may change with production requirements and events outside reasonable control. Customers arrange transport of components to Smart Microns; Smart Microns arranges and pays for return delivery under the standard arrangement, unless a controlling written agreement provides otherwise. Transit loss or damage is investigated and resolved case by case, subject to applicable law and the relevant agreement.

1.9 Inspection, documentation, shortages and rework

Inspection reports, test results, certificates and other quality documentation are supplied as stated in the quotation or customer agreement. Quality complaints, requests for rework, quantity discrepancies and process losses are reviewed case by case or handled under the applicable customer agreement. These terms impose no fixed universal complaint deadline, but customers should report concerns promptly with relevant evidence. Statutory rights, where applicable, are unaffected.

1.10 Warranty

Eligible plating processes may carry a fixed warranty period. The applicable duration, coverage and remedy must be stated in the quotation or customer agreement. Unless expressly agreed otherwise, warranty coverage does not extend to damage from improper handling or storage, chemical exposure, misuse, or operating conditions beyond agreed specifications. Exceptions may be considered case by case. Nothing in these terms excludes rights or remedies that cannot lawfully be excluded.

1.11 Customer-supplied precious metals

Smart Microns may accept customer-supplied gold, silver or other precious metals for plating. All unused and recoverable customer-supplied precious metal will be returned, subject to applicable process and recovery requirements and documented reconciliation arrangements. Recovery and refining costs are included in the original plating quotation, unless otherwise expressly agreed. Any non-recoverable process loss and the measurement or reconciliation methodology should be documented in the relevant quotation or customer agreement.

1.12 Tooling and third-party specialists

Unless expressly agreed otherwise in writing, Smart Microns retains ownership of jigs, fixtures, tooling and equipment it develops or uses in production. Smart Microns may engage approved external vendors for specialised processing, testing or finishing while remaining responsible for agreed quality requirements, subject to the customer agreement and applicable law.

1.13 Storage and collection

Completed components may be held pending payment or dispatch. The permitted holding period and any storage charges are determined by the individual customer agreement; no universal storage period or charge applies under these standard terms.

1.14 Confidentiality, designs and publicity

Customer drawings, technical specifications, designs and other confidential information are protected as provided in the applicable customer agreement and law. Smart Microns may display images or descriptions of processed components without identifying customers or revealing confidential information, only where permitted by existing confidentiality obligations and other applicable restrictions. Customer-owned intellectual property remains subject to the parties’ agreements.

1.15 Liability and remedies

Claims involving defective work, delays, damage, shortages or related financial losses are assessed case by case, taking account of causation, supporting evidence, contractual allocation of risk and applicable law. These standard website terms do not impose a blanket monetary cap. Neither party is relieved of liabilities that cannot lawfully be excluded or limited.

1.16 Events beyond reasonable control
Where events beyond Smart Microns’ reasonable control materially affect performance, Smart Microns will notify affected customers where reasonably practicable and timelines may be reasonably extended. Liability for resulting delays is subject to applicable law and any controlling customer agreement. The parties should work in good faith to mitigate disruption.

1.17 Disputes and governing law

These terms are governed by the laws of India. Subject to mandatory applicable law and any valid dispute resolution clause in a controlling customer agreement, disputes are subject to the competent courts at Chennai, Tamil Nadu.

1.18 Changes and contact

Smart Microns may update these website terms by publishing a revised version and effective date. Changes do not automatically amend an existing signed agreement or accepted order.
